§ 02
Corporate and commercial
Company formation, shareholder agreements, contracts and acquisitions for founders and owner-managed businesses.
Owner-managed businesses need legal work that fits their size: clear documents, a fee they can plan for and a lawyer who answers the phone. That is the practice we built.
We act for founders, family companies and international groups setting up a local business. Much of our work crosses borders: a parent company abroad, a distributor in another market, an investor who reads the contract in a second language.
Contracts people actually read
Every contract we draft comes with a short note that explains, clause by clause, what you are agreeing to. If a clause cannot be explained simply, we rewrite it.
What we take on
- Company formation and structure
- Shareholder and founder agreements
- Commercial contracts and terms of business
- Share and asset acquisitions
- Investment rounds
- Cross-border distribution and agency
How the work runs
Brief
You describe the deal or the company you want to build. We ask the questions that decide the structure.
Plan and quote
A one-page plan with the documents needed, the order of work and a fixed fee for each stage.
Drafting and negotiation
We draft, explain every clause that matters in plain words and negotiate with the other side.
Signing and filings
We run the signing, file what has to be filed and send you a bound set of the final documents.
How it is charged
Fixed fee for each stage, hourly beyond it
Fixed fees for formation and standard documents; transactions are quoted per stage, with an hourly rate only for work beyond the agreed scope.
Questions clients ask
Do I need a shareholder agreement if we are only two founders?
Two founders is exactly when it matters most: it decides what happens if one of you leaves, falls ill or wants to sell.
Can you work with our accountant?
Yes. Most structures are decided together with the accountant, and we share drafts with them as we go.
